Glass Lewis backs Generali CEO Donnet for another term

MILAN (Reuters) – Proxy adviser Glass Lewis has recommended Generali investors vote to hand CEO Philippe Donnet another term at a general meeting on April 24. 

Italy’s biggest insurer investor Mediobanca has put forward Donnet as a candidate as part of a slate of board nominees.

A major Generali shareholder, Francesco Gaetano Caltagirone, who has long opposed Donnet, proposed an alternative six candidates. While he is not planning to challenge Donnet directly, if he wins, the 13-member board would be split and unable to take decisions.

A third slate of nominees was submitted by a group of fund managers. 

“We believe shareholders would be better served by using their vote to ensure board continuity,” Glass Lewis said in a report, an excerpt of which was seen by Reuters on Thursday.

International Shareholder Advisers (ISS), another leading proxy adviser, recommended Generali shareholders vote to give Donnet another term.
